This Copyright and Fair Use Agreement (“Agreement”) is entered into between Lonewolf Consulting Corp., a company organized and existing under the laws of Canada, with its principal place of business located at 3505 Honeycrisp Avenue, Victoria BC V9C0K4 (“Company”), and the recipient of the online experiential training program, hereinafter referred to as the “User.”
1. Copyright Ownership
All content, materials, and intellectual property provided in the online experiential training program, including but not limited to text, images, videos, audio, and any associated documentation (hereinafter collectively referred to as the “Materials”), are and shall remain the exclusive property of the Company and are protected by copyright laws.
2. Permitted Use
The User is granted a limited, non-exclusive, non-transferable license to access and use the Materials solely for personal and educational purposes as intended by the training program.
The User may download, print, or make a reasonable number of copies of the Materials solely for their personal use and reference.
3. Prohibited Use
The User shall not reproduce, distribute, publicly display, publicly perform, modify, adapt, translate, or create derivative works from the Materials without the express written permission of the Company.
The sale of all or any part of this material is prohibited and neither Users nor organizations may receive payment or material benefit of any kind arising from the use or distribution of this material. The Author retains the copyright and all material is provided without implied or express warranty.
4. Fair Use/Fair Dealing
To the extent applicable, the User acknowledges and agrees to comply with the fair use (U.S.) and fair dealing (Canada) provisions under copyright law when using the Materials for purposes such as criticism, commentary, research, education, parody, satire, criticism, review, and news reporting.
5. Copyright Notice
The User shall not remove, alter, or obscure any copyright or other proprietary notices included in the Materials.
6. Limitation of Liability
The Company shall not be liable to the User for any direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from the use or inability to use the Materials or any other aspect of the online experiential training program.
7. Termination
This Agreement may be terminated by either party at any time for any reason. Upon termination, the User shall immediately cease using the Materials and destroy any copies in their possession.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is based.
9. Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
10. Modification
This Agreement may only be modified in writing and signed by both parties.
Material provided for this course includes information from many sources and gathered from many personal experiences. It is provided for general reference and is not intended to substitute for independent verification by users when necessary and appropriate. The material is provided with the understanding that the presenter is not engaged in rendering any legal, psychological, or accounting advice. The presenters disclaim any personal liability, directly or indirectly, for advice or information presented. Although the presenters have prepared their material with utmost care and diligence and have made every effort to ensure the accuracy and completeness of the information contained within, they assume no responsibility for errors, inaccuracies, omissions, or inconsistencies.
By accepting and using the online experiential training program, the User acknowledges that they have read, understood, and agreed to the terms of this Copyright and Fair Use Agreement.
